Terms of Service

Effective date: August 13, 2026

General

In these terms and conditions, "we", "us", and "our" refers to PT Satria Jaya Darmadi and the affiliate and influencer marketing platform we operate at ubalist.com, along with the partner portal at partners.ubalist.com, the short-link redirect host at l.ubalist.com, the public API at api.ubalist.com, and the documentation site at docs.ubalist.com (together, the "Service"). We reserve the right to amend these terms at any time. We recommend reviewing the terms with each visit.

By using the Service you agree to these terms. If you do not agree, do not use the Service.

Members

You must complete registration with accurate information including a valid email address, your name, and a password. You are responsible for keeping your credentials secure. If you enable two-factor authentication (required for Owner and Admin roles within seven days of account creation), you are responsible for securing your second factor.

Content you contribute to the Service, including product listings, offer descriptions, campaign briefs, partner rosters, outreach messages, and knowledge-base entries, remains your responsibility. You warrant that you have the right to publish it.

We reserve the right to terminate any account for breach of these terms and to refuse content that violates our acceptable-use rules. You indemnify us against liability claims arising from content you post.

Workspaces and roles

A workspace is a product-owner tenancy on the Service. Each workspace has one or more members with defined roles: Owner, Admin, Manager, Analyst, Finance, and Viewer. Roles determine what actions a member can take.

Owner. Full access, including billing, workspace deletion, and ownership transfer. Two-factor authentication required within seven days.
Admin. All permissions except billing, deletion, and ownership transfer. Two-factor authentication required within seven days.
Manager. Create and edit products, offers, campaigns, partners, briefs, and outreach. Cannot release escrow above USD 500 or change billing.
Analyst. Read-only on everything, plus can create saved views and export.
Finance. Escrow, payouts, billing, invoices, and ledger access. No product or campaign editing.
Viewer. Read-only with no export.

The Owner is legally responsible for the workspace's activities on the Service, including compliance with these terms, the accuracy of information provided about partners, and the payment of amounts owed to partners.

Partners

Partners are affiliates, influencers, or content creators invited by a workspace to promote its offers. Partners have separate accounts on the partner portal. By registering as a partner you agree that:

You will provide accurate identity, tax, and payout information.
You will only promote offers you are permitted to promote under any commission rule you have signed and under the acceptable-use policy of the destination merchant.
You will not generate artificial clicks, artificial conversions, or use bots to inflate metrics. We reserve the right to withhold payment on conversions attributable to fraudulent traffic.
You accept the payout provider (PayPal or Stripe Connect) selected by the workspace. Payout provider terms of that provider also apply.

Attribution and conversions

Ubalist records clicks and conversions using deterministic server-to-server attribution. A click is recorded when a user visits a short link at l.ubalist.com/:short_code. A conversion is recorded when the destination merchant submits a HMAC-signed postback to api.ubalist.com/v1/conversions. Attribution follows the last-click model within the cookie window locked to the partner's commission-rule version at the time of the click.

Conversions older than ninety days cannot be back-attributed. Duplicate ingest of the same (orderid, partnerid) returns an idempotent success and does not create a duplicate accrual.

You warrant that any conversion you postback to Ubalist represents a real, non-refunded transaction. Postbacks that we later determine were false, fraudulent, or subsequently refunded may result in commission clawback per the Refund Policy at https://ubalist.com/refund-policy.

Escrow and campaign funding

For content-based campaigns, workspaces fund the campaign into escrow at campaign start. Escrow funds are released to partners on the following triggers:

Content is verified live at the destination URL by the platform (URL fetch, API postback, or manual approval by a Manager).
A signed conversion postback matches the campaign's success criteria.
Manual release by a Finance or Owner role, within the release limits defined by their role.

Once escrow funds have been released and paid to the partner, they are not recoverable except through the clawback mechanism (see Refund Policy). Workspaces are responsible for ensuring campaign briefs, deliverables, and acceptance criteria are clear before funding.

Commission accrual and payout

Commissions accrue against conversions in accordance with the commission rule bound to the partner at the time of the click. Commission rules are versioned; a partner locked to a version continues under that version's terms until the version-lock window (default 90 days) expires or the partner accepts a newer version.

Payouts are settled through PayPal or Stripe Connect on the workspace's payout schedule. Payout fees per transaction are:

PayPal: 2% plus USD 0.25, capped at USD 20 per payout.
Stripe Connect: 0.25% plus USD 0.25, capped at USD 10 per payout.
Cross-currency payouts: 1.5% FX margin, recorded as a ledger adjustment citing the provider's spot rate at time of settlement.

Payouts require a verified payout account with the selected provider. Payout amounts under the provider's minimum threshold may be held until the threshold is reached.

Billing

Ubalist does not charge a monthly subscription for product-owner accounts. Instead, we take a small percentage of each attributed paid conversion, plus optional metered fees for power features that a workspace chooses to use (voice queries above 50 per month, outreach messages above 500 per month, catalog overage above 5 products, and similar). Full rates are published on our pricing page at https://ubalist.com/pricing and may be updated in accordance with the change-control section of that page.

SaaS billing of product-owner accounts is handled by Freemius, who serves as the Merchant of Record. Freemius handles invoicing, VAT and tax remittance where applicable, and payment card processing.

Fraud detection

We operate a fraud-detection engine that screens clicks and conversions for bots, datacenter IP ranges, click-farming patterns, self-referrals, disposable email domains, and audience-verification signals. Rules may block, flag, shadow, or quarantine traffic. Quarantined conversions require manual approval by a Manager, Admin, or Owner before the associated commission is released.

Fraud detection is included on every account at no cost. We reserve the right to withhold payment on conversions that our engine flags as fraudulent, and to escalate patterns to law enforcement where appropriate.

Public API and webhooks

The Service exposes a public REST API at api.ubalist.com/v1. Access requires an API key created through your workspace. Keys are scoped per resource with read or write permissions. Requests to sensitive endpoints (conversion ingest, outbound webhooks) must be HMAC-signed using the scheme documented at https://docs.ubalist.com.

Rate limits apply on a per-workspace, per-API-key sliding window basis. Burst allowance is 2x for 30 seconds. Sustained abuse of the API may result in temporary or permanent revocation of API keys.

Outbound webhooks to workspace-configured endpoints are signed with HMAC-SHA256. Endpoints that fail more than 50% of deliveries over any 24-hour period are automatically paused pending manual re-enable.

Site access

Data mining, robots, screen-scrapers, and extraction tools are prohibited unless used with the public API under a valid API key and within the documented rate limits. Metataging, mirroring, or wholesale reproduction of the Service requires our prior written permission.

Hyperlinks

We take no responsibility for the content of third-party websites linked from the Service, including destination URLs configured by workspaces on their tracking links. You may link to the Service without our consent, but you may not alter its content, embed it in a frame, or present it as your own.

Intellectual property rights

You retain ownership of the content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to store, transmit, index, and display that content solely as necessary to provide the Service. All Ubalist trademarks, source code, and documentation remain the property of PT Satria Jaya Darmadi. Commercial use of our trademarks requires our prior written permission.

Acceptable use

You may not use the Service to:

Threaten, harass, or defame any person.
Publish non-consensual intimate content.
Promote products or services that are illegal in the jurisdiction of the target audience, including but not limited to unlicensed financial products, unlicensed pharmaceuticals, or controlled substances.
Generate artificial clicks, artificial conversions, or otherwise falsify attribution.
Circumvent the fraud-detection engine or attempt to reverse-engineer its rules.
Attempt to gain unauthorized access to the Service, other accounts, or the underlying infrastructure.
Send unsolicited commercial messages that violate the applicable spam laws of the recipient's jurisdiction (including CAN-SPAM, GDPR, and TCPA).

Violations may result in immediate account termination and forfeiture of any pending payouts.

Disclaimers

The Service is provided on an "as is" and "as available" basis. We make no express or implied warranties of any kind, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI-generated outputs from the Voice RAG assistant and analytics chat may be inaccurate, incomplete, or biased; you are responsible for reviewing and verifying any output before relying on it.

We are not responsible for damage to your computer or device arising from your use of the Service.

Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or related to these terms or the Service is limited to the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) USD 100. In no event will we be liable for consequential, incidental, indirect, special, or punitive damages, including lost profits, lost revenue, or lost data, even if we have been advised of the possibility of such damages.

Because we operate as a Data Processor for workspace-owned partner data, and because commission and payout math is bound to a specific version of the commission rule at the time of the click, the workspace is responsible for the accuracy of the rules it configures and for the payouts it authorizes. We are not liable for payments the workspace authorized that it later disputes.

Indemnity

You agree to indemnify and hold harmless PT Satria Jaya Darmadi, its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorney fees) arising from (a) your use of the Service, (b) your violation of these terms, (c) your violation of any third-party right (including intellectual property or privacy), or (d) any content you submit through the Service.

Jurisdiction

These terms are governed by the laws of the Republic of Indonesia. Any dispute arising out of or in connection with these terms will be heard in the competent courts of Jakarta, Indonesia, without regard to conflict-of-law principles.

Privacy

Our privacy practices are described in the Privacy Policy at https://ubalist.com/privacy-policy.

Software updates

We provide automatic updates to the Service as part of ongoing operation. We may add, change, or remove features from time to time; where a change materially reduces functionality that you actively use, we will provide reasonable notice.

Termination

You may close your account at any time from your account settings. Account deletion enters a 14-day grace period; within that window you can restore your account. After 14 days, personal data is anonymized and workspace-scoped data is subject to the retention rules described in the Privacy Policy.

We may suspend or terminate your account immediately if we determine, in our reasonable judgment, that you have violated these terms. Where a workspace has active escrow balances at time of closure, those funds must be refunded or paid out before final closure.
